1.INTRODUCTION
Welcome to our App, ORBO Ltd own the App and operates (not provide) the Services. The App contains a booking functionality which is intended for use by Approved Driving Instructors to receive requests for Driving Lesson Service through the App. The Driving Instructor will provide a Driving Lesson directly to a Learner driver they had confirmed their Booking Request with. By using our App, the User confirms that they are a Driving Instructor, and that the User will use the App for this purpose only.
2.USE OF APP
This Orbo ADi App is intended for use by Driving Instructors in Great Britain (England, Scotland and Wales) wanting to teach people the skills and knowledge they need to drive a Car safely. If the User is not a Driving Instructor, but uses this App in any way, the User is subject to the terms and conditions outlined in this policy. If the User does not agree to these Terms, please do not use this App.
Access to and use of this App is provided by Orbo to the User free of charge, although transaction Fees may be charged in respect of the Driving Lesson Services. Orbo reserves the right to modify or update the App and the Services provided on this App at any time and without prior notice. It is the User’s responsibility to remain informed about the current rates applicable to the Services made available through the App. Orbo has the option to alter or improve its products.
These Terms govern the User’s use of the Orbo ADi App, and by using the App, the User signifies his/her acceptance of these Terms. Pages from this App may be copied or printed only for personal, non-commercial use. Without Orbo's specific consent, Users are not allowed to use, edit, replicate, print, display, reproduce, distribute, or publish any information from this App in any other way.
3.DEFINITIONS
“Account” means the Account that the User created on this application.
“Agreement” refers to the mutual understanding and acceptance by both the Learner and Instructor of the arrangement for a Driving Lesson, including the agreed upon date, time, and location. It outlines the responsibilities and obligations of both parties during the lesson and the agreed upon Terms such as payment and cancellation policies.
”App” refers to the Orbo ADi mobile application software made available by ORBO Ltd to allow Users to provide Driving Lesson Services in accordance with these Terms.
“Approved Driving Instructor”, “Driving Instructor” or “Instructor” for short, means a person who is qualified and licensed to teach individuals how to drive a vehicle in accordance with the laws and regulations of the jurisdiction in which they operate. They typically provide training and guidance to Learner drivers, including both theoretical and practical instruction, to prepare them for a driving test and obtaining a driver's licence. It also refers to you, the User of this App and its Services.
“Booking Request” refers to the features and functions of the App around the arranging and purchasing of a Driving Lesson Service.
“Car” refers to a type of road vehicle used for transportation. It typically has four wheels, is powered by an internal combustion engine or electric motor, and is designed to carry a small number of passengers. A Car is only provided by the Driving Instructor for Driving Lesson Services via the App.
“Driving Lesson Service”, ”Driving Lesson” and/or “Session” refers to the Service provided by an Approved Driving Instructor to teach and guide a Learner in the operation and safety of a vehicle. This is in accordance with the laws and regulations of the jurisdiction in which the lesson takes place. This Service includes but not limited to, instruction on the basic principles of driving, vehicle control and manoeuvring, traffic laws and regulations, and safe driving practices.
“Fee” refers to the monetary amounts charged by Orbo for the use of its Services, as outlined in the terms and conditions.
“Learner” refers to an individual who is currently in the process of learning to drive and is not yet licensed to operate a vehicle unsupervised on public roads.
“Meet-Up Point” refers to the location on which the Agreement between the User and the Driving Instructor begin. It is the location the User starts the Driving Lesson with the Learner.
“Orbo” refers to ORBO Ltd, the entity that owns, operates and manages the Orbo and Orbo ADi applications. References to ‘we,’ ‘us,’ or ‘our’ within these Terms shall also refer to Orbo.
“Service” and/or “Services” refers to a specific task or set of tasks performed by one party for another. Typically refers to specific Services offered by a company or individual and agreed upon by both parties. Specifically means the booking Services made by Orbo that facilitate the booking of lessons and other Services via the App or an offline mode, including SMS.
“Start Date” refers to the date on which the Agreement between the User and the Learner driver begins. It is the day the User has their Driving Lesson with the Learner.
“Start Time” refers to the time on which the Agreement between the User and the Learner driver begins. It is the time the User starts the Driving Lesson with the Learner.
“Terms” refers to the legal Agreement between the User and Orbo outlining the rights and responsibilities of both parties in regards to the use of the Services on the App.
“User” refers to you, the User of the App and its Services. This contract gives no one else any rights. The right to use the Orbo platform is solely between the User and Orbo. No one else has any right to enforce any of its Terms.
4.CREATING AN ACCOUNT
This App is currently only available for use on hand held mobile devices. To access and use the App, the User must use an authorised telecommunications or internet network. When using the App, the User’s device provider may impose standard messaging, data, and/or voice charges (as applicable), which are the User’s responsibility.
To access and use the App, the User must be competent to enter into a contract under applicable laws.
The User is solely responsible for keeping their registration data and application login credentials secure. The User will be held liable for all activities and transactions, as well as any other misuse of the application, that occur through the User’s Account (whether initiated by the User or any third party).
The User must first create a personal Account through the App. The personal Account must only be for personal, non-commercial use and must not be sold, rented, loaned, sub-licensed, or assigned to a third party.
To create a personal Account, the User provides his or her first name, last name, email address, mobile number and to make a password. This does not mean access to the Service and content within the App until verification is complete. The User guarantees that all information provided is true, correct, and up to date.
Before receiving Booking Requests through the App, the User’s personal Account must be accepted and verified by Orbo. The User must complete an up-to-date profile photo, provide details on his/her postcode, Car registration, driving licence, ADi badge and agree to the insurance requirements. This will grant the User access to the Service and content within the App if verified by Orbo.
Orbo reserves the right to decline any Driving Instructor based on any factors they deem necessary, including but not limited to accuracy of information provided, clarity and suitability of the information, and any other criteria deemed relevant by Orbo. Orbo reserves the right to decline Driving Instructors without any liability or obligation to provide a reason for such decision.
(i) Instructors who already have a verified Account on Orbo ADi will also not be accepted to create another Account. ORBO Ltd reserves the right to take necessary actions, including but not limited to terminate Account(s), to prevent the creation of multiple Accounts by an individual.
The User agrees that Orbo ADi requires his or her permission to enable location services in order for the App to confirm attendance at the Learner's Meet-Up Point, this is how the App will connect both parties as the App can now allow the User to start a Session. Precise location data may also be used to assist in dispute resolution, such as verifying whether the User was present at a scheduled lesson if a Learner claimed that the User did not attend their Meet-Up Point. The User acknowledges that disabling location will affect their ability to fully utilise the App and its functionality.
Orbo reserves the right to terminate personal Accounts at any time for any reason, including, but not limited to:
(i) Comply with any applicable law;
(ii) Suspicions that the Account was created with false information or is otherwise being used for fraudulent purposes;
(iii) The registration data or any other information the User provided is false, outdated;
(iv) User commits a breach (other than a trivial or inconsequential breach) of these Terms.
The User should only use the App as a Driving Instructor solely in accordance with these Terms and all applicable laws, and not for any illegal or unlawful purposes.
5.BOOKINGS, FEES & PAYMENTS
Before receiving Booking Requests the User must ensure that their device is turned on and configured appropriately (e.g. GPS location is active), and the application is active.
Dependent on the User’s chosen work area, in the case of receiving Booking Request(s), Orbo cannot guarantee the ability to connect Learner drivers for the User under any circumstance.
The Learners are in-charge of easily scheduling the Start Date, Start Time and Meet-Up Point for their Driving Lesson request through their App. The User’s role is to confirm or decline their Booking Request, and incase you do confirm their booking, you may then provide the Service they have requested. This will happen on the scheduled date and time at their designated Meet-Up Point as the starting location.
All bookings and payments for Driving Lessons are only made through Orbo by the Learner. However, Orbo does not directly contract with the Learner for the provision of lessons; instead, the Learner enters into an Agreement directly with the Driving Instructor. Orbo accepts the payment on the Learner’s behalf. The User must not charge any extra monies to the Learner regarding bookings and Fees for a Driving Lesson beyond the Orbo App.
The User will be required to provide relevant bank payout details including bank account details to the payment processor in order, to withdraw payout for the set lesson Fee(s) from Orbo.
Orbo ADi allows Instructors to withdraw their earnings only between 5:00 PM and 6:00 AM daily. The withdrawal button will only be available during these hours, and no withdrawals can be processed outside of this timeframe. This timeframe is set to help Instructors on delivering quality lessons without distraction during peak teaching hours.
Orbo allows payments for Driving Lessons only into bank accounts. Payments made through any other methods will not be accepted. By using the Service, the User confirms that they have read and agreed to these terms and conditions, and authorise Orbo to make payouts to the User’s bank account on their behalf for the Driving Lesson Fee.
Several bank accounts can be linked to a User’s personal Orbo ADi Account, and they can select their preferred bank account for receiving payment.
When the Learner requests a Driving Lesson, Orbo will provide:
(i) Information to the Learner regarding the Driving Instructor. Including first name, last name and a picture of the Driving Instructor and any other details Orbo considers appropriate; and
(ii) Information to the Driving Instructor regarding the Learner. Including first name, last name and Meet-Up Point, necessary to enable the Driving Instructor to provide the Driving Lesson Service.
By receiving a Booking Request, the Learner is offering to purchase a Driving Lesson. This does not mean the Booking Request has to be accepted. An Agreement between the Learner and the Driving Instructor for the purchase of a Driving Lesson Service will only be made when the Driving Instructor has issued confirmation to the Learner’s Booking Request through this App.
The User has the choice to accept or decline a Learner’s Booking Request. If an Instructor declines the Learner’s lesson request, Orbo is not responsible.
Once the User confirms a Learner’s lesson request, Orbo will provide:
(i) The Learner with a booking confirmation (notification) through their App. The same will happen if the Booking Request is rejected by the User, and;
(ii) The User access to be able to contact the Learner through SMS as so will the Learner.
Orbo works with all Driving Instructors as independent contractors. The Driving Lesson Services are provided by the Driving Instructor (not by Orbo) while Orbo, acts as an intermediary by providing the platform for booking Service between the Learner and the Driving Instructor. An Agreement for Driving Lesson Services are made between the Learner and the Driving Instructor directly through the App and Orbo shall be entitled to charge the Learner with its set rate for the Driving Lesson Services.
When a Driving Lesson is completed, confirmed by the User. A small administration charge will be subtracted from the total amount of the Driving Lesson Fee by Orbo and the third party payment processor. The remainder is then paid to the User. By agreeing to these Terms and conditions, the User authorises Orbo and the third party payment processor to deduct the administration charge from their payment. The remaining amount will be paid to the User as per the Agreement made between both parties.
When a Driving Lesson is completed, confirmed by the User. Orbo issues an email receipt to the Learner on behalf of you. This email includes a PDF attachment detailing the lesson and payment summary. The Instructor acknowledges that Orbo facilitates this process as part of its platform Services and does not assume responsibility for any tax, accounting, or financial reporting obligations of the Instructor.
Unless Orbo is required to calculate it for you under law. All payments made by Orbo to you, the User, are exclusive of any applicable deductions or withholdings, such as income tax, national insurance contributions, or other statutory obligations.
As you, the User, is an independent contractor, all Driving Instructors on Orbo are responsible for handling their own taxes and other financial obligations related to their work on the platform. It is the User’s responsibility to account for and remit any required deductions or withholdings to the relevant authorities. Orbo will not be responsible for withholding, calculating or paying any taxes, national insurance contributions, or other similar payments related to the Instructor's work on the platform. Orbo shall not be liable for any such payments on your behalf. Instructors are advised to consult with their own tax advisors and take necessary measures to comply with applicable laws and regulations regarding taxes and other financial obligations.
Orbo reserve the right to change lesson payment rates at any time for new Driving Lesson bookings.
When the User confirms a Driving Lesson, the User does not receive payment until the Driving Lesson has been provided by the User to the Learner and completed.
The User agrees to attend the Learner's Driving Lesson at the agreed Start Time, Start Date, and Meet-Up Point when they have confirmed their lesson request through the App. Failure to attend the lesson at the agreed upon time and place may result in termination of the User's Account.
If there is any delay by the Driving Instructor reaching the Learner’s Meet-Up Point prior to the requested Start Time, the Learner has the option to contact the Driving Instructor through SMS.
Orbo requests that each Driving Instructor makes every reasonable effort to arrive on time prior to the Learner's requested Start Time. However, Orbo and the Learner will take into account any adverse conditions that may affect the Instructor's punctuality. This includes, but is not limited to, weather conditions, traffic, roadworks, Instructor illness or emergency, and other unforeseeable delays such as traffic accidents.
Once the User starts/completes a Session, all payments charged by Orbo on to the Learner are non-refundable to the greatest extent authorised by law.
However, in rare circumstances where a refund is deemed necessary due to a dispute, Orbo reserves the right to process the refund by deducting the refunded amount from the Instructor’s in-app wallet. Unless there were technical issues caused by the App (such as Orbo mistakenly overcharging the Learner for a Session), Orbo is not liable for any refunds issued outside these circumstances. If an Instructor believes they have been treated unfairly in the resolution of a dispute, they may contact us at the email provided at the end of these terms and conditions.
Orbo advises for all Instructors to allow 5 (five) minutes of waiting at a Meet-Up Point if the Learner is late.
If there is any further lateness beyond 5 (five) minutes after the Learner’s requested Start Time, it is completely on the Instructor on what actions they take next:
(i) User could keep waiting;
(ii) User could contact the Learner;
(iii) User could cancel the Session for the Learner;
(iv) User could leave and still fully charge the Learner without refund for not attending and not notifying the User by cancelling beforehand. However, this can seriously affect the User’s rating. Orbo reminds Learners to attend their Meet-Up Point and on time. User could face permanent termination if Orbo identifies the User violating this freedom, i.e, leaving and fully charging Learners within minutes of attending to their Meet-Up Point. Orbo monitors such cases, and repeated complaints from Learners about unfair charges will result in an investigation and possible termination of the User's Account.
6.DRIVING LESSON TERMS & RULES OF CONDUCT
By continuing to use the Orbo ADi App, the User agrees that they will not use it if they are suspended or removed from the ADi register and releases Orbo from any liability.
By registering on Orbo ADi, the User agrees to slide the "Start" button in the App through “My Schedule” screen to indicate when a Driving Lesson begins. This is necessary for the App to accurately record the duration of the lesson and release the User’s earnings. If the lesson is not started using the App, Orbo cannot guarantee accurate tracking of the User’s time, and the User may lose potential earnings as a result. The User acknowledges and accepts that it is their responsibility to ensure that they start and complete each lesson through the App, and failure to do so may result in loss of profit.
The slide “Start” button only becomes available:
(i) On the day of the scheduled lesson when it’s 15 minutes before the Start Time;
(ii) When the User’s location is within close proximity of the Learner’s Meet-Up Point.
The User can confirm that they currently have Car insurance on the Car they intend to use for this platform. You, the User, agrees that you will maintain the Car insurance for as long as you remain active on Orbo ADi as an Approved Driving Instructor. Insurance of which to drive on the road is required by law. Such insurance includes a valid/ up to date Car insurance policy. Such insurance includes the change of Car you intend to use for Orbo ADi hereafter, whether its temporary or permanent.
The User’s Car must be in good condition and comply with all applicable laws and regulations for it to be legally driven on the road. The Driving Instructor is responsible for ensuring that their Car is maintained and serviced regularly, and that it has valid road tax, MOT, and insurance.
When conducting lessons in a Car provided by the Learner, Instructors should take reasonable steps to ensure the Car meets safety and legal requirements. While there are limits to the checks an Instructor can carry out, they should confirm that the Car meets the minimum test vehicle (MTV) requirements provided by the DVSA. Review relevant documentation, and perform basic safety checks such as inspecting tyres, lights, and mirrors. Additionally, the User must ensure that the Car displays L plates (or D plates in Wales) on the front and rear before beginning any lesson.
The Driving Instructor is required to verify the Learner's provisional driving licence for identification purposes and ensure that the Learner is at least 17 years of age prior to beginning the Driving Lesson. In the event that an individual is under 17, the User is prohibited from commencing the Session.
(i) In the event that the Learner's first and last name on the provisional licence does not match the first and last name provided on the App, the Driving Instructor must not proceed with the lesson and must cancel the Session through the App.
The User is required to check the Learner brings their provisional driving licence with them to all lessons. If the Learner fails to do so, it will result in the User cancelling their lesson. The User should not charge the Learner for the cancelled lesson.
It is the responsibility of the Learner to arrive at their designated Meet-Up Point on time for their scheduled Driving Lesson. Any lateness may result in their lesson being shortened or cancelled at the discretion of the User. The User does not owe back to the Learner any time lost due to the Learner’s lateness for a Session, at any time.
The Learner must pass the DVSA eyesight check before starting every Driving Lesson.
The User agrees to abide by the ADI Code of Practice when using the Orbo ADi App and its Services. The ADI Code of Practice is a set of guidelines established by the Driver and Vehicle Standards Agency (DVSA) for Approved Driving Instructors (ADIs) in Great Britain. The User agrees to comply with all of the guidelines outlined in the ADI Code of Practice, including but not limited to:
(i) Providing safe and competent instruction to Learners;
(ii) Conducting lessons in a professional manner, including the use of appropriate language and behaviour;
(iii) Conduct lessons in accordance with all applicable British road laws and regulations;
(iv) Ensuring that their vehicle is roadworthy and meets all safety requirements;
(v) Providing a safe and comfortable learning environment for Learners;
(vi) Encouraging Learners to safely take an active role in their own learning and development;
(vii) Deliver lessons that are relevant, up-to-date, and meet the needs of Learners;
(viii) Maintaining accurate records of lesson progress and content;
(ix) Complying with relevant legislation, regulations and ethical guidelines;
(x) Providing ongoing support and guidance to the Learner driver during lessons.
The User acknowledges that failure to abide by the ADI Code of Practice may result in the termination of their use of the App and its Services. The User also acknowledges that they are solely responsible for their actions while using the App and its Services.
The Instructor is solely responsible for ensuring the safety of the Learner during the Driving Lesson.
The User agrees to keep accurate records of the progress of each Driving Lesson beyond the App. This includes documentation of the topics covered, hours of instruction provided, and any other relevant information that helps track the Learner's progress and ensures that they receive the highest quality of training. The Driving Instructor acknowledges the importance of maintaining accurate records and agrees to comply with this requirement as a condition of using the App.
The Fees for a Driving Lesson by default do not cover anything else but the Driving Lesson Service provided by the User.
Driving Lessons are charged based on a set Fee for a specific duration. If a lesson is ended before the scheduled duration, the full lesson Fee will still be charged. This includes, but is not limited to, weather conditions, traffic, Instructor/Learner illness, and Instructor/Learner personal circumstances. Instances where the Instructor ends the lesson due to the Learner's behaviour is also included. All Fees are non-refundable and will be charged to the Learner by the Instructor through the App.
However, the Learner can have the option to pre-agree or reschedule the remaining duration of any Driving Lesson(s) with the Instructor after lesson commencing. This is if for any reason beyond the Instructor’s control it is not possible to deliver the full duration of a Driving Lesson. This does not include the case where a lesson is ended early due to a Learner’s behaviour. This pre-agreement or rescheduled lesson is made outside the App, meaning it is also out of Orbo’s control. Orbo are not a party to, nor have any obligations or liabilities, arising out of or in relation to, such circumstances between the User and the Learner.
(i) The Learner is in charge of making sure that this is logged;
(ii) The full Fee for the original Lesson which was booked through the App will still apply that very day.
In the event of a Car mechanical issue (prior to a lesson) or another issue outside the Instructor’s control, the Instructor reserves the right to rearrange lessons through SMS.
If an Instructor has grounds to believe that a Learner is in any way impaired by alcohol or drugs, they are free to refuse to proceed the driving.
The minimum number of required Driving Lessons will be used by the Instructor to teach the Learner the proper driving techniques according to the prescribed syllabus issued by the DVSA.
Any breaks that the Driving Instructor deems necessary for the User’s safety and theirs, in accordance with any regulations, are included in the overall lesson duration.
The Instructor is free to establish extra terms and conditions for Learner Driving Lessons. These won't be taken into account until the Learner formally agrees to them (E.g signing an agreement).
After every Session, the User has the option to rate the Driving Lesson after its conclusion through the App. User must be fair, accurate and non-defamatory while leaving a rating about the particular Driving Lesson Service with the Learner. The User agrees that the Learner may also leave a rating on you from a scale of 1 to 5 stars after the conclusion of the Lesson.
The User acknowledges that Orbo collects and displays their rating for Learners in their area who are booking a lesson. An average of these ratings is associated with the User’s Account and is displayed on the User’s menu screen of the Orbo ADi App. Ratings help maintain a standard of Service and the User agrees that ratings cannot be modified or removed except in cases where Orbo determines that a rating violates platform policies.
The User must not request, encourage, or attempt to influence the Learner to rate them with a particular star rating whether directly or indirectly. This includes any actions, words, or suggestions that may lead the Learner to feel pressured or obliged to leave a higher rating, such as asking for a 5-star rating or implying that a certain rating is expected. Ratings given by the Learner must be based on their genuine experience during the lesson and reflect their honest judgment and opinions regarding the quality of the service provided, without any external influence from the Instructor or any other party. Instructors are also prohibited from offering incentives, such as discounts, free lessons, or gifts, in exchange for positive ratings or feedback. This includes offering any rewards for leaving a higher rating to the User. Any attempt by the User to manipulate, coerce, or influence the Learner’s rating will result in an investigation by Orbo, and repeated complaints may lead to Account termination. Orbo takes such violations seriously and will review any reports in accordance with our policies.
Learner ratings are visible only to Driving Instructors. These ratings help and allow Instructors to make informed decisions when accepting Learners. The User acknowledges that this policy is in place to maintain a supportive learning environment and reduce discouragement and unnecessary pressure on the Learner.
The User is responsible for their choice of Learners they choose to teach, including those with lower ratings. Orbo is not liable for any dissatisfaction, disputes, or issues that may arise due to the teaching of a lower-rated Learner.
The User is not permitted to allow third parties onto the App to provide Driving Lesson Services other than themselves.
The User is not permitted to share their Account with another individual.
The User will not resell any of the Services made available through this App.
The User must ensure they are fit to teach before conducting any Driving Lesson. This includes being in a suitable physical, mental, and emotional state to provide instruction safely and effectively. The Instructor must have the ability to see, hear, and react appropriately to road conditions, Learner actions, and surrounding hazards. They must not conduct lessons if they are experiencing fatigue, illness, impairment, or any condition that may affect their ability to instruct safely. If an Instructor becomes unfit to teach, whether before or during a Session, they must take appropriate action. This may include postponing or rescheduling lessons to avoid compromising the safety of themselves, the Learner, or other road users. Failure to do so may result in action being taken in accordance with Orbo’s policies.
The User must be sure the Learner is fit to drive, meaning that Learner is physically, emotionally and mentally capable of operating a Car safely. This includes being able to see, hear, and react appropriately to road conditions and other drivers, as well as having the ability to control the Car. It also means the Learner does not have any physical or mental conditions that would impede their ability to drive safely. The Learner must not be under the influence of any substances that would impair their judgement, reaction time or overall ability to drive.
(i) If the Learner is found not fit to drive, the User must not continue on with the lesson. Full lesson Fees may still apply (discretion of the Instructor) for the Learner without a refund.
In the case of an accident on the road caused by the Learner, the User reserves the right to charge the Learner directly (outside of the Orbo ADi app) of any reasonable costs required to repair the Car. The Learner shall be responsible for the cost of such repair. Orbo are not a party to, nor have any obligations or liabilities, arising out of or in relation to, such circumstances between the User and the Learner.
Any agreement regarding repair costs, including whether the Learner pays an insurance excess or full repair fees, is strictly between the Instructor and the Learner. Orbo is not responsible for such agreements or any disputes arising from them.
Any type of harassment or discrimination is not tolerated, we owe it to all the Learners and Instructors to provide a secure, pleasant working and learning environment. Free from any type of discrimination which is also included according to the ADI Code of Practice.
User will consent to immediately notify Orbo if they face these issues. Please contact us at Contact@Orbo.uk .
The complainant should be advised that Orbo will investigate their complaint and request the provision of any supporting evidence that substantiates their allegations. Orbo, dependent on the evidence received, may be able to take direct action in terminating the offender’s Account at this point in time. However Orbo will terminate the complainant’s Account if they are proven to have made false and unfounded allegations intentionally.
Respect for personal space and privacy is required. The list below contains examples of inappropriate behaviour but is not exhaustive:
(i) Do not inquire about personal matters (for example, about relationship status or sexual orientation);
(ii) Do not make derogatory or "complimentary" comments about someone's appearance;
(iii) Make no explicit comments or gestures (for example, slurs, or graphic or suggestive messages);
(iv) Avoid flirting (for example, nonverbal, suggestive flirting, or being too physically close);
(v) Display no indecent material (for example, sexually suggestive objects or pictures).
Driving Instructors who only possess a driving licence for automatic Cars must only conduct lessons in automatic transmission Cars. Orbo reserves the right to terminate the Account of any Instructor who violates this condition.
User agrees that any violations of these rules may result in immediate termination of the User’s right to access the App.
Nothing in these Terms stated will affect any statutory rights the User may have as a producer.
7.DRIVING TESTS
Driving tests (including the use of the Instructor’s Car) may only be arranged beyond the Orbo App with the prior consent of the Instructor and the Learner.
The use of the instructional Car for a driving test is completely within the discretion of the Instructor, not Orbo. Orbo are not a party to, nor have any obligations or liabilities, arising out of or in relation to, such circumstances between the User and the Learner.
The Learner agrees they may be required to pay the Instructor directly for the use of their tuition Car for a driving test and the time spent travelling to and from the test location.
The Learner agrees that payment for a practical driving test is paid directly to the DVSA, however this does not include the use of a tuition Car.
8.LIMITATION OF LIABILITY
Orbo does not exclude or restrict its liability to the User where it would be against the law to do so.
The Orbo platform has not been developed to meet the User’s individual requirements.
All Driving Instructors registered on Orbo are required to be approved by the Driver and Vehicle Standards Agency (DVSA) at the time of their registration on the App. This is to ensure that all Instructors meet the necessary standards and qualifications required to teach individuals how to drive a vehicle. Orbo strives to continuously monitor and check each Driving Instructor remains on the ADI register who are verified onto our platform. However, if an Instructor is found to be providing Service through Orbo ADi by a third party after being suspended or removed from the ADi register due to, but not limited to:
(i) Being banned from driving;
(ii) Having 5 (five) or more penalty points; or
(iii) Being convicted of any non-motoring offences;
Orbo will not be liable. By continuing to use the Orbo ADi App, the User agrees that they will not use it if they are suspended or removed from the ADi register and releases Orbo from any liability.
The Driving Instructor's Car must be in good condition and comply with all applicable laws and regulations for it to be legally driven on the road. The Driving Instructor is responsible for ensuring that their Car is maintained and serviced regularly, and that it has valid road tax, MOT, and insurance. Orbo assumes no liability for any damages or accidents caused by a Driving Instructor using a Car that is not roadworthy or does not meet legal requirements.
The User acknowledges and accepts that Orbo just serves as an intermediary and does not actually provide the Driving Lesson Services. The User agrees that Orbo are not a party to the Agreement between the User and the Learner.
Orbo will not be held liable for any legal actions taken against the Learner for non-compliance with British road laws.
Orbo will not be held liable for any pre-existing damages or issues with the Driving Instructor’s Car prior to the start of the Driving Lesson.
The Instructor takes no liability for accidents, injury, or damage to third parties brought on by the Learner’s recklessness or negligence during a lesson. The Learner shall be responsible for the cost of such repair. Orbo are not a party to, nor have any obligations or liabilities, arising out of or in relation to, such circumstances between the User and the Learner.
Neither Orbo nor the Driving Instructor shall have any liability to the Learner for the loss or damage of personal belongings during a Driving Lesson. The Learner is responsible for ensuring that their personal belongings are secure during their lesson. Neither Orbo nor the Driving Instructor will be liable for any loss or damage of personal belongings including but not limited to wallets, keys, mobile phones or other valuables. To the extent that there is no violation of a legal obligation owed to the Learner.
Even if Orbo has been advised of the possibility of such damages, Orbo shall not be liable for any incidental, indirect, exemplary, special, punitive, or consequential damages, including but not limited to lost profits, loss of business, loss of business opportunity, lost data, personal injury, property damage, business interruption resulting from any use of the App.
Orbo makes use of third party payment processors' services in order to charge fixed rates. For any errors made by these payment processors, Orbo is not liable. Any payment processing-related issue that is not the result of an error or flaw in the application must be resolved by the User and the applicable payment processor.
Orbo is not responsible for any delays in processing Instructor withdrawals resulting from third-party payment processors or banking institutions.
Orbo are not responsible for any events that occur outside of our control that may affect the scheduling or completion of Driving Lessons. This includes but is not limited to weather conditions, traffic, tuition Car issues, roadworks, Instructor/Learner illness, and Instructor/Learner personal circumstances. The full Fee for the original lesson may still apply.
Orbo are not a party to, nor have any obligations and shall not be held liable for any arrangements made between the Driving Instructor and the Learner regarding the duration of any Driving Lesson(s) or any rescheduling of such lessons outside of the App. This is in accordance to clause (6.Driving Lesson Terms & Rules of Conduct) .This includes, but is not limited to, pre-agreements regarding the Start Time, Start Date, or Meet-Up Point of the lesson(s). Orbo provides a platform for connecting Driving Instructors and Learners for the purpose of scheduling Driving Lessons, but any such pre-agreements or arrangements made outside the App are solely between the Instructor and Learner and Orbo shall not be held responsible for any disputes arising from such pre-agreements or arrangements.
Any issues regarding a Driving Lesson, Orbo won't be liable to take into account any issues that are brought up after 30 days (“thirty” days) from the dispute.
Orbo recognises that issues are commonly resolved based on their seriousness, and thus some issues may be made a priority over others. Orbo may not be able to resolve all issues, and Orbo will not be held liable if the User is dissatisfied with the handling or resolution of an issue relating to the Driving Lesson Service provided by the Driving Instructor. This also includes the failure to resolve an issue.
Orbo does not guarantee that the Services available through or included on this App will be uninterrupted or error-free, that flaws will be fixed, that this App or the server that makes it available are virus or bug-free, or that the information will accurately or faithfully reflect the functionality, accuracy, or reliability of the App.
Although Orbo makes reasonable efforts to update the information provided through the App, Orbo does not guarantee that the information provided through the App is always up-to-date, accurate, complete, verified or comprehensive. The App may contain errors or defects and Orbo will not be liable for any inaccuracies, typographical or errors in the information provided. Orbo will not be held liable for any damages arising from the use of the App and it disclaims all responsibility for any reliance that may be placed on the information. By using the App, the User acknowledges that they use it at their own discretion.
Orbo shall not be liable for any loss or inconvenience arising from your inability to access your Account due to forgotten passwords or loss of access to the OTP email address or mobile number registered with your Account. This includes, but is not limited to, any funds or balances remaining in your Account at the time of access loss. You are solely responsible for keeping your login credentials up to date.
Orbo is not responsible for any loss of profit, business reputation, or earnings incurred by the Instructor due to a negative rating score received from Learners. Especially in cases where the Instructor has exercised their right to fully charge for a missed lesson. By choosing to charge a Learner for non-attendance, the User acknowledges and accepts the risk that the Learner may leave a rating reflecting their dissatisfaction. Orbo does not interfere with or modify user ratings unless it is determined that a rating was left in violation of Orbo's policies. The Instructor assumes full responsibility for any impact on their rating as a result of their charging decisions.
Orbo does not provide any promises or commitments other than those explicitly stated in these Terms. Any implied Terms, conditions or warranties, including those regarding satisfactory quality, fitness for purpose, and reasonable skill and care, are not part of these Terms and are excluded to the fullest extent allowed by law.
Orbo hereby disclaims all implied warranties with respect to the App to the fullest extent permitted by law. The software and App are given "as is" and "as available" with no warranties of any sort.
In no event shall Orbo’s total liability to you under this agreement for all damages (other than as may be required by applicable law) exceed the amount of fifty pounds (£50.00).
9.INDEMNITY
The User is responsible for any actions taken through their Account (whether initiated by the User or any third party).
The User also acknowledges that they are solely responsible for their actions while using the App and its Services, and that Orbo will not be held liable for any breaches of the ADI Code of Practice. The User agrees to indemnify and hold harmless Orbo from any and all claims, damages, expenses, and costs arising from their use of the Orbo ADi App and its Services.
The User agrees to indemnify and hold harmless ORBO Ltd and its related corporate bodies. Additionally, their directors, officers, employees, agents, and representatives (collectively referred to as "Indemnified Parties"), from and against any expenses, losses, damages, costs, claims, penalties and taxes arising out of or related to a breach of these Terms. Along with liabilities (including reasonable legal fees) that the indemnified parties may incur in connection with any:
(i) If the User breaks any laws that are applicable to themselves;
(ii) Fraudulent misrepresentation, dishonest, negligent or unlawful act or omission by the User;
(iii) The User is liable for any personal injury (including sickness and death) or property damage caused by or contributed to by the User in connection with any Driving Lesson (including any motor vehicle accident involving the vehicles); or
(iv) If any drivers or third parties make a claim because of something the User did or did not do.
10.TERMINATION
These terms and conditions apply to the User until the User terminates these Terms at any time by deleting their Account or uninstalling the App. Some contract Terms, such as clauses (2.Use of App), (8.Limitation of Liability), (11.Use of Personal Data and Information), (12.Intellectual Property), (10.Termination) as well as any other Terms that by their nature do, may continue to apply to the User even after the contract has been terminated.
These terms and conditions apply to the User until such time as they are terminated from using the App by Orbo. Orbo reserves the right to terminate these Terms with immediate effect if:
(i) To comply with any applicable law;
(ii) Suspicions that the Account was created with false information or is otherwise being used for fraudulent purposes;
(iii) The registration data or any other information the User provided is false, outdated;
(iv) User commits a breach (other than a trivial or inconsequential breach) of these Terms.
If these Terms are terminated for any reason:
(i) User’s rights to use the application will be terminated immediately;
(ii) The parties must stop acting in ways that imply a continuing relationship between them.
If the Instructor's Account is terminated for any reason, any remaining funds in the Instructor's Account will be automatically deposited to the active payout method associated with the Instructor's Account. The Instructor will not be entitled to any funds or compensation for any lessons or Services that were ongoing as of the termination time.
In the event that the User’s Account is terminated, the User agrees to not create a new Account using a different mobile number. Any attempt to circumvent the Account termination by creating a new Account may result in further legal action.
Upon termination of these Terms, the User’s rights to any scheduled Driving Lessons will be revoked. Any confirmed bookings will be cancelled, and the User will not be entitled to any further earnings from those lessons. Orbo will not be obligated to facilitate any previously scheduled lessons once the terms and conditions have been terminated.
11.USE OF PERSONAL DATA AND INFORMATION
Orbo assures its Users that their personal information will stay secure and private. When using the App, the User’s personal information that is provided to Orbo will be maintained and handled in compliance with our privacy policy.
For quality assurance, legal, compliance, and training reasons, we may evaluate and record communications with the User (including phone calls and emails).
Only where required or permitted by law, Orbo will divulge the User’s personal information to other third parties.
We may verify the User’s information with fraud-prevention agencies. If we have reason to believe that the User has provided fraudulent or inaccurate personal data or information, we will record it and may share it with organisations that work to prevent fraud. Furthermore, any applicable authorities such as the police.
Orbo and its payment processor(s) will employ industry-standard security measures to protect your bank account and sort code information. We adhere to general data protection regulations (GDPR) to ensure the confidentiality and integrity of your financial details.
12.INTELLECTUAL PROPERTY
All rights associated with trademarks, copyrights, database rights, and any other intellectual property related to the App and its underlying software code are solely owned by ORBO Ltd.
Orbo confers upon the User a Britain-wide, non-exclusive, non-assignable, royalty-free licence (though transaction Fees are charged in respect of the Driving Lesson Services) that is revocable. Allowing the User to utilise the App for personal purposes in accordance with the provisions outlined in these Terms. All intellectual property rights in the Orbo App throughout the world belong to (or are licensed to) Orbo. The rights in the Orbo App are licensed (not sold) to the User.
User agrees that they must not:
(i) Make and distribute copies of the App or any part of the App;
(ii) Make any attempt to copy, alter, reproduce, transfer, sub-license, rent, merge, modify, loan, reverse engineer, harm, disassemble, decompile, exchange, translate, hack, distribute, or otherwise misuse the App or any part of the App; or
(iii) Create any derivative work(s) of the App or any part of the App.
User agrees not to allow third parties from acting on User’s behalf to:
(i) Make and distribute copies of the App or any part of the App;
(ii) Make any attempt to copy, alter, reproduce, transfer, sub-license, rent, merge, modify, loan, reverse engineer, harm, disassemble, decompile, exchange, translate, hack, distribute, or otherwise misuse the App or any part of the App; or
(iii) Create any derivative work(s) of the App or any part of the App.
User agrees not to use Orbo in a manner that violates or misappropriates the intellectual property or moral rights of a third party.
The User should not send any confidential or proprietary information to Orbo (whether on the application or otherwise) except for the registration data or any other data submitted by the User during the use of the Service (“Permitted Information”). Any content provided by the User that is not classified as 'Permitted Information' will not be treated as confidential or proprietary. Orbo will handle the personal information in accordance with the privacy policy.
13.RELATIONSHIP OF THE PARTIES
The use of the Services by the User does not establish a fiduciary relationship, agency, joint venture, partnership, employment, or trust between ORBO Ltd and the User, as stated in these Terms.
14.GOVERNING LAW
These terms and conditions are governed and construed in accordance with the laws of Great Britain.
The Services described on this App are only available to England, Wales and Scotland residents (excluding the Channel Islands and Isle of Man). Uses from people outside the specified areas above, will not be accepted (unless otherwise noted in future updates) because the information on this App is only intended for residents in Great Britain. Orbo makes no claims that any Service mentioned in the App are acceptable for use or accessible elsewhere. The information and other materials on this App might not comply with the laws of other countries, regions etc, and anybody accessing it from outside Great Britain is responsible for adhering to the laws there, if and to the extent that they apply.
The laws of Great Britain shall govern these terms and conditions as well as any terms and conditions pertaining to the Services mentioned in this App. Unless otherwise specifically agreed, disputes relating to the same shall fall within the sole and exclusive authority of the courts of England.
The rest of this agreement will remain in effect even if a judge rules that some of it is unlawful. These Terms' clauses each function independently. The remaining clauses shall continue to be in full force and effect even if a court or other relevant body finds one or more of them to be unlawful. Any provision of these Terms that is determined to be unlawful for any reason shall be noted to have been amended to the minimum extent necessary to make it legal.
15.CHANGES TO TERMS & CONDITIONS
Orbo reserves the right to make changes to these terms and conditions at any time with notice to the User. The User’s continued use of our App following any changes, indicates their acceptance of the new terms and conditions.
